    1. Agreement to Terms

    By accessing or using HomeFeed AI Limited's website, mobile application, or services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

    HomeFeed AI Limited is the provider of these Services and is referred to as "HomeFeed," "we," "our," or "us" in these Terms.

    2. Changes to Terms

    We may update these Terms from time to time. We will update the "Last Updated" date at the top of these Terms when changes are made.

    Where changes are material, we will take reasonable steps to notify you, for example by email or through the Services.

    If you do not agree to the updated Terms, you must stop using the Services. Continued use of the Services after the changes take effect will indicate your acceptance of the updated Terms.

    3. Eligibility

    You must be at least 18 years old to use our Services. By using the Services, you confirm that you meet this requirement and that you have the legal capacity to enter into a binding contract.

    4. User Accounts

    4.1 Account Creation

    To access certain features of our Services, you may need to create an account. You agree to:

    • Provide accurate, current, and complete information
    • Maintain and promptly update your account information
    • Keep your password secure and confidential
    • Notify us immediately of any unauthorized access to your account

    4.2 Types of Users

    • Business Users: Professionals, estate agents, landlords, property developers, and other businesses who use HomeFeed to manage properties and communicate with End Users.
    • End Users: Individuals who sign up through a Business User's link, website integration, or invitation to access property information and services.

    4.3 Account Responsibility

    You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to maintain account security.

    5. Data Controllers and Data Processing

    5.1 Dual Controller Arrangement — HomeFeed Landing Page Data

    Important: This dual controller arrangement applies only to lead data collected through HomeFeed-hosted landing pages. It does not apply to lead data collected via Facebook or Instagram native lead forms. Please read Section 5.5 for how Meta Platform Data is handled.

    When you sign up to HomeFeed through a Business User's link, website, or invitation, and where data is collected through a HomeFeed-hosted landing page:

    Both the Business User AND HomeFeed act as independent data controllers for your personal data. This means:

    • The Business User (e.g., estate agent, landlord, developer) will have access to and can process your data for their own business purposes, such as managing property viewings, communicating with you about properties, and maintaining customer relationships.
    • HomeFeed will also have access to and can process the same landing page data for our purposes, including platform operation and service delivery, service improvement and development, analytics and insights, marketing our services, business intelligence and valuation, and compliance with legal obligations.

    This means your landing page data is accessible to and can be independently used by both parties.

    5.2 Business Users' Obligations

    Business Users who use HomeFeed to collect End User data warrant that they:

    • Have the necessary legal basis to collect and share End User data with HomeFeed
    • Have provided End Users with appropriate privacy information
    • Have obtained any necessary consents
    • Comply with all applicable data protection laws in their collection and use of End User data

    5.3 HomeFeed as Processor

    In certain limited circumstances where HomeFeed processes data solely on behalf of and on the instructions of Business Users, HomeFeed acts as a data processor. The specific arrangements for such processing are set out in separate data processing agreements with Business Users.

    5.4 Data You Provide

    By using the Services and providing data to HomeFeed (whether directly or through a Business User) via HomeFeed-hosted landing pages, you acknowledge and agree that:

    • Your data will be processed by both the relevant Business User(s) and HomeFeed as independent controllers
    • HomeFeed may use your data for the purposes described in our Privacy Policy
    • HomeFeed may aggregate and anonymize data for analytics, research, and business purposes

    5.5 Meta Platform Data — HomeFeed as Tech Provider

    This section governs all lead data collected via Facebook or Instagram native lead forms. It takes precedence over Sections 5.1 and 5.4 in respect of such data.

    HomeFeed operates as a Tech Provider under Meta's Platform Terms. When Business Users connect their Facebook or Instagram pages to HomeFeed and run lead generation campaigns using Facebook or Instagram native lead forms, HomeFeed accesses and processes the resulting lead data ("Meta Platform Data") as a Tech Provider on behalf of the relevant Business User.

    In respect of Meta Platform Data:

    • HomeFeed processes Meta Platform Data solely on behalf of and at the direction of the relevant Business User (the Client), strictly for the purpose of delivering that Business User's campaign
    • HomeFeed does not use Meta Platform Data for its own purposes, including analytics, business intelligence, model training, or platform-wide insights
    • HomeFeed does not pool Meta Platform Data across Business Users — each Business User's Meta Platform Data is maintained separately
    • HomeFeed does not claim any intellectual property rights in, or derive Manipulated Data from, Meta Platform Data. The IP assignment and data licence provisions in Sections 7.3 and 7.4 of these Terms expressly exclude Meta Platform Data and any data or insights derived from it
    • Meta Platform Data will be deleted in accordance with Meta's Platform Terms (Section 3.d), including upon account cancellation, upon End User request, or when no longer needed for its original purpose
    • Business Users may export their Meta Platform Data at any time while their HomeFeed account is active. All such data will be permanently deleted upon account closure

    Business Users acknowledge that their use of Meta's platforms through HomeFeed is also subject to Meta's Platform Terms, and that HomeFeed's obligations as a Tech Provider under those Terms take precedence over any conflicting provisions in these Terms with respect to Meta Platform Data.

    6. Use of Services

    6.1 License

    Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your personal use or for legitimate internal business purposes, in each case in accordance with these Terms.

    6.2 Prohibited Activities

    You agree not to:

    • Violate any applicable laws or regulations
    • Infringe upon the rights of others
    • Transmit any harmful code, viruses, or malicious software
    • Attempt to gain unauthorized access to our systems or other users' accounts
    • Use automated systems (such as bots or scrapers) to access the Services without our prior written permission, except where such access is expressly permitted by us or required by law
    • Interfere with or disrupt the Services or servers or networks connected to the Services
    • Impersonate any person or entity
    • Collect user information without consent
    • Use the Services for any illegal or unauthorized purpose
    • Reverse engineer, decompile, or disassemble any part of the Services
    • Remove or modify any proprietary notices from the Services

    6.3 Business User Additional Restrictions

    Business Users additionally agree not to:

    • Share access credentials with unauthorized individuals
    • Exceed any usage limits specified in their subscription plan
    • Use the Services to send unsolicited communications (spam)
    • Violate any applicable marketing or anti-spam regulations
    • Use the Services in any way that could damage HomeFeed's reputation

    7. Intellectual Property

    7.1 HomeFeed's Property

    All content, features, and functionality of the Services, including but not limited to software, algorithms, and technology, property data, analytics, and insights, text, graphics, logos, images, and design, database structure and organization, and any derived or manipulated data created by HomeFeed, are owned by HomeFeed or our licensors and are protected by copyright, database rights, trademark, and other intellectual property laws.

    7.2 HomeFeed's Intellectual Property Rights

    You acknowledge that:

    1. All Intellectual Property Rights in the Services, Data, and Materials are the property of HomeFeed or its licensors, as the case may be.
    2. You shall have no rights in or to the Data, Services, or Materials other than the right to use them in accordance with the express terms of these Terms.
    3. HomeFeed or its licensors has or have made and will continue to make substantial investment in the obtaining, verification, selection, coordination, development, presentation, and supply of the Data.

    7.3 User Content and Data Licence

    The licence granted in this section applies to data collected through HomeFeed-hosted landing pages and Business User-provided content only. It expressly excludes Meta Platform Data. See Section 5.5.

    By submitting any content or data to our Services ("User Content"), including property listings, enquiries, communications, or other information collected through HomeFeed-hosted landing pages, you grant HomeFeed:

    • A worldwide, non-exclusive, royalty-free licence
    • To use, reproduce, modify, adapt, and display your User Content
    • For the purposes of: operating, improving, and providing the Services; developing new products and services; analytics and service improvement; and as necessary to fulfil our obligations under these Terms

    For the avoidance of doubt, this licence does not extend to Meta Platform Data (lead data collected via Facebook or Instagram native lead forms). HomeFeed's use of Meta Platform Data is governed solely by Section 5.5 of these Terms and Meta's Platform Terms, under which HomeFeed has no independent rights to use such data for its own purposes.

    7.4 Manipulated Data Assignment

    This assignment clause applies only to data and materials originating from HomeFeed's own Services and landing pages. It expressly excludes Meta Platform Data and any derivatives thereof. See Section 5.5.

    You assign to HomeFeed, with full title guarantee, all Intellectual Property Rights in:

    • Any development of the Materials
    • Any Manipulated Data you may create

    This assignment is by way of future assignment and takes effect from the date when such rights arise. "Manipulated Data" means any Data which has been combined, aggregated, adapted, or modified with other data or information.

    Notwithstanding the above, this assignment expressly excludes:

    • Meta Platform Data (as defined in Section 5.5), meaning any lead data originating from Facebook or Instagram native lead forms
    • Any data, insights, aggregations, or derivatives created from or using Meta Platform Data
    • Any campaign performance data, lead analytics, or other outputs derived from HomeFeed's processing of Meta Platform Data on behalf of a Business User

    HomeFeed makes no claim of ownership over Meta Platform Data or any derivative thereof. Any such data belongs to and remains subject to the rights of Meta and the relevant Business User in accordance with Meta's Platform Terms.

    7.5 Cooperation and Documentation

    You shall, and shall use all reasonable endeavours to procure that any necessary third party shall, at HomeFeed's cost, promptly execute such documents and perform such acts as may reasonably be required for the purpose of giving full effect to these Terms.

    7.6 Content Standards

    You represent and warrant that your User Content does not violate any third-party rights, does not contain illegal, harmful, or offensive material, complies with all applicable laws and regulations, and is accurate and not misleading.

    7.7 Attribution and Reputation

    You shall cooperate with HomeFeed to protect the goodwill and reputation of the Services. Where technically and commercially feasible, any display of data by Business Users should credit HomeFeed as the source of the data.

    8. Third-Party Links and Services

    Our Services may contain links to third-party websites, services, or integrations. We are not responsible for the content, privacy policies, or practices of third-party sites or services. Your use of third-party services is at your own risk.

    Business Users may integrate HomeFeed with third-party services including Meta's platforms. You are responsible for ensuring any such integrations comply with applicable laws, Meta's Platform Terms, and the third party's terms of service.

    9. Payment and Subscriptions

    9.1 Fees

    Certain features of our Services require payment. All fees are stated in GBP (£) unless otherwise specified and are non-refundable except as required by law or as expressly stated in these Terms.

    9.2 Billing

    By providing payment information, you authorise us to charge all fees to your payment method, confirm that you are authorised to use the payment method provided, and agree to keep your payment information current and accurate. We use third-party payment processors to handle payment transactions. Your payment information is subject to the privacy policy and terms of those processors.

    9.3 Automatic Renewal

    Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel at any time through your account settings or by contacting us, and your cancellation will take effect at the end of the current billing period.

    9.4 Price Changes

    We may change our fees with 30 days' prior notice. Price changes will apply to your next billing period following the notice. If you do not agree to a price change, you may cancel your subscription before it renews at the new price.

    9.5 Taxes

    All fees are exclusive of applicable taxes (including VAT), which will be added to your invoice as required by law. You are responsible for paying all applicable taxes.

    9.6 Late Payment

    If payment is not received by the due date, we reserve the right to suspend access to the Services, charge interest on overdue amounts at 8% above the Bank of England base rate per annum, and pursue debt collection.

    9.7 Refund Policy

    Fees are generally non-refundable. However, we may provide refunds at our discretion in cases of service failure or unavailability, billing errors, or cancellation within any applicable cooling-off period required by law.

    10. Data Security and Integrity

    10.1 Our Security Measures

    HomeFeed implements appropriate technical and organizational security measures to protect personal data from unauthorized access, loss, destruction, or alteration. However, no internet transmission or electronic storage is completely secure. We cannot guarantee absolute security.

    10.2 Your Security Obligations

    You agree to keep your login credentials confidential, use strong, unique passwords, enable two-factor authentication if available, not share your account access with unauthorized individuals, and promptly notify us of any security breaches or unauthorized access.

    10.3 Data Retention

    We retain personal data for as long as necessary to provide the Services, comply with legal obligations, resolve disputes, and enforce our agreements. Specific retention periods are set out in our Privacy Policy. All lead data — including Meta Platform Data — is permanently deleted upon account cancellation in accordance with our Privacy Policy and Meta's Platform Terms.

    10.4 Data Breach Notification

    In the event of a data breach affecting your personal data, we will notify you and applicable regulators as required by law. Where a breach involves Meta Platform Data, we will also notify Meta in accordance with Meta's Platform Terms.

    11. Termination

    11.1 By You

    You may terminate your account at any time by using the account deletion feature in your account settings, or by contacting our support team.

    11.2 By HomeFeed

    We may suspend or terminate your access to the Services immediately and without prior notice where you materially breach these Terms, you engage in prohibited activities, we are required to do so by law, or it is necessary to protect the security, integrity, or reputation of the Services, your account has been inactive for an extended period, or you fail to pay fees when due.

    11.3 Effect of Termination

    Upon termination, your right to use the Services will immediately cease. Following termination, we may delete your account and User Content in accordance with our data retention practices and applicable law. All lead data, including Meta Platform Data, will be permanently deleted upon account closure and will not be retained by HomeFeed. Business Users are encouraged to export any data they wish to retain before closing their account, as export will not be possible after termination.

    11.4 No Refunds on Termination

    If we terminate your account for breach of these Terms, you will not be entitled to a refund of any prepaid fees. If you terminate your account voluntarily, you will not receive a refund except as required by law.

    12. Disclaimers

    The Services are provided on an "as is" and "as available" basis. Nothing in these Terms excludes or limits any rights you may have under applicable law, including statutory consumer rights. Subject to this, we do not guarantee that the Services will be uninterrupted, secure, or error-free, or that property data will be accurate, complete, or reliable. Property data is aggregated from multiple third-party sources and public sources. You should independently verify any critical information before making decisions. The Services do not constitute professional advice.

    13. Limitation of Liability

    Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded or limited under applicable law. Subject to this, we will not be liable for loss of profits, loss or corruption of data, indirect or consequential losses, or loss or liability under or in relation to any other contract. Our total aggregate liability to Business Users shall not exceed the total fees paid by you in the 12 months preceding the event giving rise to liability. Our total aggregate liability to End Users shall not exceed £100. Any claim must be commenced within 12 months of the event giving rise to the claim.

    14. Indemnification

    If you use the Services in a business capacity, you agree to indemnify and hold harmless HomeFeed, its affiliates, officers, directors, employees, and agents from and against all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable legal fees) arising from your breach of these Terms, your use or misuse of the Services, your User Content or data, your violation of any law or regulation, your violation of any third-party rights, or any claims by End Users related to your processing of their data.

    15. Audit Rights

    Business Users shall keep detailed, accurate, and up-to-date records showing use of the Services and Data, compliance with these Terms, and steps taken to comply with data protection obligations. Records shall be maintained during the Term and for at least 3 years thereafter. HomeFeed and its designated representatives may, upon reasonable notice during normal business hours, gain access to and take copies of such records and inspect systems relating to use of the Services. Such audit rights continue for three years after termination. Where an audit reveals a material breach, the Business User shall bear the costs of the audit.

    16. Confidentiality

    Each party agrees to keep the other party's Confidential Information confidential, not use it except as necessary to perform under these Terms, and protect it using at least the same degree of care as for its own confidential information. Confidential Information does not include information that is publicly available, was already in the receiving party's possession, is independently developed, or must be disclosed by law.

    17. Data Protection Compliance

    Both parties agree to comply with all applicable data protection laws, including UK GDPR, the Data Protection Act 2018, and the Privacy and Electronic Communications Regulations (PECR). The nature, purpose, and particulars of data processing are set out in our Privacy Policy and, for Business Users, in any separate Data Processing Agreement. HomeFeed may transfer personal data outside the UK or European Economic Area where appropriate safeguards are in place. Transfers of Meta Platform Data are additionally subject to Meta's Platform Terms (Sections 10A, 10B, and 10C). HomeFeed may engage sub-processors to process data. A list of sub-processors is available upon request. Business Users provide general authorisation for HomeFeed to engage sub-processors, provided HomeFeed maintains a list, ensures appropriate obligations are in place, and remains liable for sub-processor acts and omissions.

    18. Announcements and Publicity

    Neither party shall make public announcements concerning these Terms or the relationship between the parties without the prior written consent of the other party, except as required by law. Business Users agree that HomeFeed may identify them as a customer on our website and in marketing materials, use their company name and logo for such purposes, and include general non-confidential information about their use of the Services in case studies (with prior approval of specific content).

    19. Dispute Resolution

    Before commencing formal proceedings, parties agree to first attempt to resolve disputes informally by contacting each other in writing and negotiating in good faith for at least 30 days. These Terms shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction. Nothing in this section affects a consumer's statutory rights.

    20. General Provisions

    These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and HomeFeed regarding the Services. If any provision is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right does not constitute a waiver. You may not assign these Terms without our prior written consent. Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship. These Terms are provided in English and the English version shall prevail in case of any conflict.

    22. Complaints

    If you have a complaint about our Services, please contact us using the details above. We will investigate and respond to complaints in accordance with our complaints procedure. If you are not satisfied with our response, you may have the right to refer your complaint to the Information Commissioner's Office (ICO) for data protection issues, or to alternative dispute resolution schemes for consumer disputes.

    By using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, including the specific provisions relating to Meta Platform Data in Sections 5.5, 7.3, and 7.4.
